Terms of Service

These Terms of Service (“Terms”) govern your access to and use of CompliAssistant™ (the “Service”), operated by CompliAssistant (“we”, “us”, or “our”).

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Description of the Service

CompliAssistant™ provides AI-assisted guidance related to healthcare compliance, including HIPAA-related questions and document analysis. The Service is provided for informational purposes only and does not constitute legal advice.

3. Eligibility

You represent that you have the authority to enter into these Terms on behalf of yourself or the organization you represent.

4. Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

5. PHI and HIPAA Responsibilities

Submission or processing of Protected Health Information (“PHI”) is permitted only on plans that include an executed Business Associate Agreement (“BAA”).

  • Free and Starter plans do not permit PHI submission.
  • You are solely responsible for ensuring you do not submit PHI unless a BAA is in effect.

6. Business Associate Agreement

For eligible plans, a BAA is provided and accepted electronically via click-wrap acceptance. Use of PHI-enabled features without an accepted BAA is prohibited.

7. Acceptable Use

You agree not to:

  • Use the Service for unlawful purposes
  • Attempt to bypass security, usage limits, or safeguards
  • Submit malicious code or harmful content
  • Misrepresent your identity or authority

8. Subscription, Billing, and Payments

Paid plans are billed in advance on a subscription basis. Fees are non-refundable except as required by law. We reserve the right to modify pricing with reasonable notice.

9. Intellectual Property

The Service, including software, text, and branding, is owned by CompliAssistant™ and protected by intellectual property laws.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE COMPLIANCE OUTCOMES OR LEGAL SUFFICIENCY.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPLIASSISTANT™ SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

12. Termination

We may suspend or terminate access to the Service for violations of these Terms or misuse of the Service.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service constitutes acceptance of the updated Terms.
